AI Employee Confidentiality and Data Protection Agreement (Read and Acknowledge)

This agreement explains how Scale Through Automation protects any information you share while you are testing, setting up, or deploying our AI Employees. These AI Employees include voice agents, chat agents, conversation agents, email agents, operations agents, and any related systems we configure for your business.

By checking the acknowledgment box you agree to the terms below.

1. Purpose

You may provide us with business information so we can set up, customize, train, or deploy your AI Employees. We use this information only for that purpose and nothing else.

2. What Counts as Confidential Information

Confidential information means anything you share with us that is not publicly available. This includes:

• Business documents, processes, internal notes, and workflows

• Customer, vendor, or employee information

• Phone calls, audio recordings, or call logs

• Chat messages, website questions, and communication history

• Website content or knowledge base files you upload

• Policies, pricing, and operational details

• Any information used to configure, test, or operate your AI Employees

Confidential information does not include information that becomes public without a breach, information we receive from a third party without restriction, information developed independently, or information we are legally required to disclose.

3. How STA Protects Your Data

We take protecting your information very seriously. We agree to:

• Use your information only to set up, train, and operate your AI Employees

• Keep your information secure and limit access to only the people working on your project

• Never sell, share, or rent your information

• Follow reasonable and industry standard security practices

• Keep setup information private and contained

Once your AI Employees are fully deployed and running live, all of your data stays inside your own environment. This includes call activity, conversations, knowledge base updates, customer information, workflows, and anything else your AI Employees handle. Your data never enters an STA database. Your data never enters any third party database outside of the system being used to run your AI Employees. We do not extract it, save it, copy it, or store it anywhere inside STA systems. It stays fully in your environment where you have complete control of it.

4. Demo, Testing, and Knowledge Base Inputs

During a demo or a testing period, you may share documents, sample policies, public information, or internal notes so we can show you how the AI Employees work. We treat everything you share as confidential.

 After your AI Employees are deployed live, all real activity and all live data remain inside your environment at all times. STA does not keep or store any ongoing data generated by your AI Employees.

5. Ownership of Data

Everything you share with us belongs to you. We do not own your documents, files, calls, information, or internal materials.

 The AI Employees themselves including the prompts, logic, scripts, and frameworks remain the property of Scale Through Automation.

6. Data Storage, Access, and Retention

We may temporarily store setup information while we are configuring your AI Employee. This is only used for your project and nothing more.

Once your system is live, all of your operational data stays in your environment. We do not host it. We do not mirror it. We do not save it. We do not store it.

You may ask us to delete any temporary setup information at any time.

 Some minimal system logs required by the platform may remain for technical reasons such as uptime reports or error messages but these logs do not contain your proprietary business information.

7. No Unauthorized Use or Disclosure

We will not disclose your information to anyone except:

• Team members assigned to your project

• Technology providers required to operate your AI Employees

• Legal authorities if required by law

We do not share your information with competitors or outside companies.

8. No Warranty

AI systems operate based on the information you provide. We do not guarantee that every response will be perfect but we will support you and make adjustments as needed.

9. Limitation of Liability

We are not responsible for losses caused by inaccurate or incomplete information provided to the AI Employee or by outages from third party platforms such as telecom providers or AI model hosts.

Our total liability is limited to the amount you paid for the service during the month of the issue.

10. Governing Law

This agreement is governed by the laws of the State of Texas.

11. Term of Agreement

This agreement stays in effect as long as we hold any setup data for your project. Once your system is deployed, your operational data stays in your environment and we do not retain anything unless required for setup support.

 You may ask us at any time to delete any data we are holding for configuration purposes.

12. Acknowledgment

By checking the acknowledgment box, you confirm that:

• You have reviewed this agreement

• You understand how STA protects your data

• You agree to these confidentiality terms

• You understand that all live operational data stays in your environment

• You understand that STA does not store or copy your live data

Your acknowledgment serves as your acceptance.
